It is a negotiable certificate issued by a U.S. depository bank representing a specified number of shares as a lot—or as little as one share—investment in a foreign company's stock. The ADR trades on markets in the U.S. (NYSE, NASDAQ) as any stock would trade. Eg: HDFC Bank's ratio is 3:1 implies that 3 shares of HDFC equal to a single ADR INDIAN firms benefit from ADRs, as they make it easier to attract American investors and raise capital—without the hassle and expense of listing themselves on U.S. stock exchanges. An American depository receipt (ADR) is a certificate issued by a U.S. bank that represents shares in foreign stock. ADRs trade on American stock exchanges. ADRs and their dividends are priced in U.S. dollars. ADRs represent an easy, liquid way for U.S. investors to own foreign stocks. HOW IT WORKS Indian company say ABC with market price 75 INR, plan to raise $10,000 FDI (~7.5 Lakhs). They will give 10,000 shares to domestic depositor bank. They in turn they will provide acknowledgement letter to U.S. depository bank. They decide no of shares needed for an ADR. Say in this case 10 shares as 1 ADR. I.I.e. they will release 1000 ADR, II.75 x 10 = 750 INR : 750 / 75 = $10 / ADR. i.e 10 shares of ABC they are holding. III.They will list it in US stock exchange by adding small premium as service charge and public will purchase. IV.They transfer the amount back to Indian Company.
