Shareholder Litigation | 2011 WL 4826104 (2011) A derivative lawsuit is one filed by a corporation’s shareholders in which the plaintiffs assert a claim on behalf of the corporation. In the case In re The Goldman Sachs Group, Incorporated Shareholder Litigation, we explore what plaintiffs must allege to bring a derivative lawsuit under Delaware law. Numerous stockholders of the Goldman Sachs Group were unhappy with the company’s compensation structure. They filed a derivative lawsuit against Goldman Sachs and numerous officers and directors in Delaware state court. The plaintiffs alleged that Goldman Sachs’s compensation structure rewarded employees based on the company’s performance. The more money Goldman Sachs made, the more money its employees received. The plaintiffs asserted that this compensation structure encouraged employees to make risky investment decisions to maximize short-term earnings. If those decisions didn’t pay off, the stockholders’ equity took the hit. If they did pay off, the employees earned more money. Thus, the employees’ interests and the stockholders’ interests greatly diverged. Accordingly, the plaintiffs alleged that the board breached its fiduciary duties in adopting the plan. Plaintiffs didn’t make a pre-suit demand on Goldman Sachs’s board as required by Delaware law. Accordingly, Goldman Sachs moved to dismiss. Want more details on this case?
