| Video Discription | In recent years, the legal rules governing shareholder corporations have vaulted into the headlines. In August 2018, Senator Elizabeth Warren introduced new legislation that would nationalize corporate governance, mandate union representation on corporate boards, and pare back company directors’ fiduciary duties to shareholders. Business as well as political leaders have signaled change: in a January 2020 letter to clients, Larry Fink, the CEO of the world’s largest asset manager, BlackRock, announced that his funds would stop investing in certain sectors under a new commitment to “sustainability.” Against this backdrop, the federal government’s principal regulator in this space, the Securities and Exchange Commission, has been modifying its rules. In November 2019, the SEC proposed to reform the way the federal regulatory agency oversees the shareholder-proposal process and the proxy advisory firms integral to modern shareholder voting by institutional investors. On July 22 of this year, the SEC finalized one of these rules and issued new guidance for investment advisers’ proxy voting. |
